SOCIAL MEDIA MANAGER CONTRACT

and Sterling Photography & Marketing, (hereinafter referred to as the “Marketer”) (collectively referred to as the “Parties”).

DESCRIPTION OF THE PROJECT

The Marketer agrees to perform the following services for the Client:

  • 6 posts per month

  • 2 social profiles

  • Content curation 

  • Content Watermarking

  • Strategy consult

  • Text content creation

  • Inbox spam monitoring

Agreement/Jurisdiction:

The person(s) whose signature(s) appear on this contract, known as "Client", agree that Sterling Photography & Marketing known as "Marketer", shall provide services to manage their website, social media and online presence, in the manner described in this

Compensation: 

The Marketer will manage the Client's social media presence and web health/maintenance for a recurring charge of  $     200          due on the first day of every month.

The Marketer will accept payment in Cheque, E-transfer, or made online at sterlingphotographyandmarketing.com.

In the event that the Client fails to pay the Marketer by 5:00 pm on the final day of every month, the Marketer will cease to provide services until payment is received.

Once payment for the period has been made in full, the Marketer will resume provision of services. Should a suspension of services occur, the complete payment will be necessary to resume services, a prorated amount will not be provided.


CONFIDENTIALITY

The Client will retain the right to all content created by the Marketer for the Client, while under contract. However, the Client may not distribute for profit any content created by the Marketer for the Client, while under contract, without the written consent of the Marketer.


Furthermore, the Marketer will retain the right to use any and all content created by the Marketer for the Client, while under contract, for the purpose of (1) providing samples of the Marketers work or (2) instruction - including, but not limited to, presentations, lectures, webinars, and published material in any medium.

Access to Clients Information:

In order to accurately determine ROI (Return on Investment), the Marketer will, from time to time, ask for financial and customer information from the Client. Requests will be made directly to the Client in person, over the phone, video call, or in writing. After receiving the answer, the Marketer will store the information in the Client's physical folder and any electronic record will be deleted.

Amendments and Addendums:

This contract is to be considered complete and final. However, the field of social media is rapidly changing and said changes may necessitate amendment or addition to this contract. Should such a need arise, the amendment or addendum must be drawn up as a separate document, signed by both parties indicating their agreement, and a copy of this signed document must be provided to the Client and the Marketer.

Liability Waiver:

Establishing a social media presence and initiating a two-way flow of communication between the client, and the public can have unintended consequences on the Client's reputation. Should this occur, the Client waives its right to hold the Marketer responsible for any damage and/or liability that may arise from the Marketer's actions on behalf of the Client.


If, at any time, the Client does not agree with actions taken by the Marketer on its behalf, it must notify the Consultant in Writing. If the Consultant receives such a communication, the Marketer will post a retraction and apology to all affected platforms within (24) twenty-four hours.

Force Majeure:

Either party shall be excused from any delay or failure in performance required hereunder if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, laws, proclamations, edits, ordinances or regulations, riots, earthquakes, floods, explosions or other acts of nature. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption. When such events have abated, the parties respective obligations hereunder shall resume. In the event the interruption of the excused party's obligations continues for a period in excess of thirty (30) days, either party shall have the right to terminate this Agreement upon ten (10) days prior written notice to the other party.

Content Creation:

All content will be planned one week in advance and submitted for approval to the Client. This data will be transmitted via email. Within 48 hours, you will be needed to sign-off or submit any change requests.


If I do not receive permission or a change request within the specified timeframe, I will send you a reminder request. If no answer is received after a further 48 hours, the information will not be published and I will accept no responsibility for the outcome. Missed content cannot be carried over to the next week; if you choose to continue using it, it will automatically replace and push back any incoming articles.

Termination:

If you choose to terminate the contract without cause prior to the end of the initial period, you must send the Marketer a written notice of termination and compensation equal to the amount to be paid over the duration of the minimum contract period.

After the initial contract period, either the Client or Marketer can terminate the contract with a one-month notice period. All login details will be handed over to you on expiry or early termination of this contract.

Account Authorization

The Client allows and grants full authorization to the Marketer to do the following on the approved social media site during the length of the service.


  • Assume the Client's identity on all social media platforms by use the login credentials provided.

  • Add text and other items to your social network profiles.

  • Numerous images, videos, and other media components.

  • Distribute notices, urgent messages, delete spam, and engage with community members

  • Hold contests, giveaways, etc that are relevant to the brand.

  • Everything else associated with designing and maintaining the Clients social media account



By supplying complete login information for all social media accounts, you establish (is authorized).

The login credentials should be transmitted securely via email or over the phone.


Additionally, please submit photographs, video, manuals, guidelines, and all pertinent promotions, as well as international brand materials. Where available, a schedule of upcoming events should be sent on a regular basis.


All login information given by the Client, including URLs, usernames, and passwords, will be handled in complete confidentiality. Under no circumstances will this information be shared.

100% (one hundred percent) of the payments paid are forfeited if this Social Media Manager Contract, is cancelled or terminated. 

I have read, understand and agree to the terms and conditions of this Agreement. 

Each person signing as Client below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this Agreement.
